RedCloud Holdings (NASDAQ: RCT) shares fell about 6% to close at $0.0617 on Wednesday after the company announced a $7.9 million insider private placement priced well above its previous share closing price to settle existing financial liabilities.
The London-based company agreed to issue 31.7 million unregistered ordinary shares at $0.25 each, representing a premium of approximately 281% over Tuesday’s closing price of $0.0656.
The insiders will satisfy their $7.925 million subscription obligation by offsetting financial liabilities RedCloud owes them, rather than paying cash.
Two Insiders to Receive 31.7 Million Shares
Christina Byland, RedCloud’s largest shareholder, agreed to acquire 30 million ordinary shares valued at $7.5 million. Dr. Nikolaus Senn, a shareholder and board member, will acquire the remaining 1.7 million shares for $425,000.
Byland accounts for about 94.6% of the placement’s total value, making her the principal participant.
RedCloud entered into subscription and set-off agreements with both insiders and expects to complete the issuance on or about October 28. Upon completion, the arrangement will reduce the company’s financial liabilities by the subscription amount without generating new cash proceeds.
In a separate financing development on Monday, RedCloud said it had repaid its senior convertible notes using proceeds from a shareholder loan.
RedCloud Shares Extend Decline Amid Heavy Trading
Wednesday’s decline followed a 20.7% drop in Tuesday’s regular session.
Trading volume exceeded 352 million shares, more than six times the previous session’s volume of approximately 53.2 million shares. The stock ended 25.4% below its Monday close of $0.0827.
The placement will increase RedCloud’s outstanding share count once the new shares are issued, reducing existing shareholders’ percentage ownership.
