Ondas Stock Reverses Early Gain After $56M Defense Deals; 7.82M-Share Resale Filing Follows

Ondas Inc. (NASDAQ: ONDS) shares reversed an early gain Wednesday after the company announced three defense-technology acquisitions valued at $56 million. EDGAR accepted a prospectus covering roughly 7.82 million previously issued shares for potential resale by selling stockholders after the stock moved below Tuesday’s closing price.

ONDS traded as high as $7.98, about 3.4% above Tuesday’s $7.72 close, before falling as low as $7.535. At 12:09:54 p.m. ET on September 23, the stock was trading at $7.652, down $0.068, or 0.88%, according to Yahoo Finance.

Ondas said it acquired Insignito Solutions Ltd., CaribouLabs Ltd., and Ottopia Technologies Ltd.’s defense business for aggregate consideration of $56 million. The 7.82 million shares covered by the prospectus were previously issued, primarily as consideration tied to those acquisitions, and the filing does not represent a new 7.82 million-share public offering by Ondas. The company will not receive proceeds from any sales by the selling stockholders.

No company filing or statement identified a specific reason for Wednesday’s intraday reversal.

Meanwhile, U.S. stocks opened modestly lower Wednesday as oil prices and Treasury yields rose. At the opening bell, the Dow Jones Industrial Average was down 0.18%, the S&P 500 fell 0.03%, and the Nasdaq Composite declined 0.11%. Drone and autonomous-defense stocks were mixed during the session, with AeroVironment trading higher and Red Cat Holdings lower.

Three Deals Add Counter-Drone, Remote-Operation and Navigation Technology

Ondas said the acquisitions extend its autonomous-defense platform across counter-drone detection, remote operation of unmanned systems, resilient communications, and navigation in environments where GPS or other global navigation satellite systems are unavailable or disrupted.

Insignito develops passive acoustic systems that detect, classify, and track drones by their sound signatures. Ondas said the technology can identify small first-person-view drones and radio-frequency-silent systems that may be difficult to detect using radar or RF sensors alone. Ondas also said Insignito’s DUMBO system has been deployed in conflict environments.

Ottopia Defense adds communications and remote-control software for unmanned platforms. Its technology connects vehicles with operators and command centers while managing video, telemetry, and mission data across degraded or bandwidth-constrained networks. Ondas said the platform supports one-to-many operations, allowing operators to supervise multiple unmanned systems.

CaribouLabs provides resilient communications and GPS-independent positioning technology for electronic-warfare and GNSS-denied environments. Ondas said it plans to integrate the acquired capabilities with its existing aerial, ground, and command platforms.

The company said the $56 million purchase price represents less than three times the acquired businesses’ expected 2027 revenue, based on Ondas’ forecasts. The agreements also provide for up to $32 million in additional earnout consideration, payable in cash or Ondas stock if specified performance milestones are achieved through 2028.

Resale Filing Covers Shares Issued In Connection With The Acquisitions

The September 23 Rule 424(b)(7) prospectus supplement covers the potential resale of 7,822,077 ONDS shares by selling stockholders.

Of that total, 7,821,445 shares were issued on September 23 to holders connected with the Insignito, CaribouLabs, and Ottopia transactions. Another 632 shares relate to Ondas’ earlier World View transaction.

This follows an earlier Ondas resale filing involving shares issued to existing holders rather than a new capital-raising transaction.

The prospectus states that selling stockholders may sell some, all or none of the registered shares from time to time through permitted transactions. Registration of the shares does not establish that all, or any specific amount, were sold on September 23.

Contractual Limits Apply to Acquisition-Related Resales 

The registration rights agreements entered into in connection with the acquisitions impose daily resale-volume restrictions.

The Insignito sellers collectively cannot sell more than 10% of the prior trading day’s ONDS volume. CaribouLabs sellers collectively and Ottopia are each limited to 10% of the average daily ONDS trading volume over the preceding 10 trading days. 

Based on recent ONDS trading volumes, those restrictions translated to limits of approximately 7.0 million shares for the Insignito seller group and about 6.3 million shares each for the CaribouLabs sellers and Ottopia. ONDS traded about 70.11 million shares on September 22, according to Nasdaq historical data, while average volume over the 10 trading sessions ending September 22 was approximately 62.8 million shares.

The prospectus lists approximately 3.19 million shares for the Insignito seller group, 1.26 million shares for CaribouLabs sellers, and 3.37 million shares for Ottopia. Each registered block is below the applicable volume threshold calculated from those recent trading figures.

Ondas Grants Equity Awards to 37 New Employees

Ondas also approved equity inducement awards for 37 newly hired employees connected with the acquisitions.

The awards include restricted stock units covering 2,979,063 shares and options to purchase another 80,000 shares at $7.72 per share. Of the RSUs, 890,275 vested at the transaction closing, while the remainder is scheduled to vest over time, subject to employment conditions.

Those awards are separate from the 7.82 million shares covered by the resale prospectus.
